1. No public offering of securities

The content published on osnova.life is strictly institutional and informational in nature. Specific investment opportunities, their terms, conditions, minimum amounts, and projections are accessible only within the investor portal, exclusively for investors verified according to the criteria of their jurisdiction. No content on the public site reflects live opportunities or current investment terms.

Osnova is not registered as an investment adviser or as a broker-dealer in any jurisdiction. Participation in any investment opportunity entails risk and is subject to formal contractual documentation.

2. Eligibility and qualified investors

Access to Osnova's opportunities portal is restricted to qualified investors under the applicable regulation in each operating jurisdiction. Eligibility is verified during the registration process and cannot be assumed merely by accessing the public site.

Osnova reserves the right to deny portal access to any person who does not meet the eligibility criteria or who does not satisfactorily complete the applicable KYC/AML process. Verification does not imply any advisory relationship or investment commitment.

3. Jurisdictions and geographic restrictions

Osnova currently operates with qualified investors in three jurisdictions: the United States, the United Arab Emirates, and Colombia. The public site content applies the most conservative regulatory standard among the three jurisdictions.

United States
The portal does not constitute a public offering under the Securities Act of 1933. Access is exclusive to accredited investors under Rule 501 of Regulation D. Osnova is not registered as an investment adviser under the Investment Advisers Act of 1940.
United Arab Emirates
Access is exclusive to professional clients as defined by the DFSA (Dubai Financial Services Authority) or the SCA (Securities and Commodities Authority) applicable to the investor's emirate of residence.
Colombia
Access is exclusive to qualified or professional investors under the regulation of the Superintendencia Financiera de Colombia (SFC), authorized to participate in private offerings under Decree 2555 of 2010 and its amendments.

Access from other jurisdictions is not authorized. If you are accessing from a jurisdiction other than the three listed, we ask that you leave the site. Osnova assumes no responsibility for use of the site from unauthorized jurisdictions.

4. Risk disclosure

Investing in private real estate assets entails significant risks that may result in the total or partial loss of the invested capital. The principal risk factors are listed below, without this list being exhaustive:

  • Illiquidity: Investments in private real estate assets are typically illiquid. There is no guaranteed secondary market, and the investor may be unable to recover their capital in the short or medium term.
  • Loss of capital: The value of the assets may decline, and the investor may lose part or all of the invested capital.
  • Market risk: Real estate market conditions, interest rates, inflation, and other macroeconomic factors may adversely affect the value and returns of the investments.
  • Concentration risk: Private real estate investments are often concentrated in specific assets or geographies, which may amplify the impact of adverse events.
  • Regulatory risk: Changes in tax, urban planning, environmental, or other regulation may affect the value or viability of the investments.
  • Sponsor operational risk: The performance of the investments depends on the operational capacity of the asset sponsor, who may face financial, operational, or legal difficulties.
  • Absence of advice: Osnova does not act as an investment adviser. The investor must make their investment decisions independently, with the support of their own financial, legal, and tax advisers.

The historical returns and institutional figures presented on the site correspond to the management team's track record and are informational. They do not guarantee future results. The figures are indicative and pending legal verification by jurisdiction.

5. Privacy policy

Osnova collects and processes personal data of visitors and investors for the following purposes: (i) managing access to the investor portal; (ii) complying with KYC/AML legal obligations; (iii) sending communications related to the investment process; (iv) improving the site experience. Data is not sold or transferred to third parties for commercial purposes without express consent.

Public site visitor data is limited to technical browsing data (logs, analytics). Registered investor data includes identity, accreditation, and KYC information, processed in accordance with the data protection regulation applicable in each jurisdiction (GDPR for EU citizens where applicable, PDPA for the UAE, Law 1581 of 2012 for Colombia, and CCPA/CPRA for California residents).
